Official Rules

1. NO PURCHASE NECESSARY TO ENTER OR WIN. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

2. ELIGIBILITY: This Diamond Crystal Salt Co. Easter 2025 Sweepstakes (“Sweepstakes”) is offered and open only to legal residents of the fifty (50) United States and the District of Columbia (“United States”) who are 21 years of age or older and who currently reside in the United States at time of entry, except for employees, officers, and directors of: (a) Cargill, Incorporated (“Sponsor” or “Administrator”) and its parents, subsidiaries, and affiliated companies; (b) advertising, promotion or production agencies, influencers, or prize providers (if any are involved with respect to this Sweepstakes) (the people and entities identified in sections (a) and (b) of this Section 2, collectively, the “Promotion Parties”); and (c) members of the immediate family of, or persons living in the same household as, the persons specified in (a) and (b). Void where prohibited.

3. SWEEPSTAKES PERIOD: This Sweepstakes starts on April 16^th, 2025 at 10:00 am and ends on April 22^nd, 2025 at 11:59pm  (“Sweepstakes Period”). All time referenced herein is Central Time. Administrator’s (or its authorized representative’s) server’s clock is the official time keeping device for the Sweepstakes.

4. HOW TO ENTER: In order to make one (1) entry in the Sweepstakes, the entrant must do the following during the Sweepstakes Period: (i) follow @diamondcrystalsalt on Instagram; and (ii) tag one friend in the comment section of the post about this Sweepstakes on the @diamondcrystalsalt Instagram page. After meeting those requirements for an initial entry, the entrant can make one or more additional entries by tagging one or more friends in new comments in the comment section of the post about this Sweepstakes on the @diamondcrystalsalt Instagram page. Each new comment tagging one or more friends shall constitute one (1) entry. Failure to meet all of the requirements set forth herein will void an entry. In case of dispute, entries will be declared made by the Authorized Account Holder of the Instagram account used to enter the Sweepstakes. “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

ALTERNATIVE METHOD OF ENTRY – An entrant may also enter by sending an e-mail containing the entrant’s full name and address to [email protected] with the subject line “Diamond Crystal Salt Co. Easter 2025 Sweepstakes” within the Sweepstakes Period.

Any use of robotic, automatic, macro, programmed or like entry methods will void all such entries by such methods, and disqualify any entrant using such methods. Proof of submission of an entry shall not be deemed proof of receipt by the Administrator. The Promotion Parties assume no responsibility for lost, late, incomplete, inaccurate, stolen, misdirected or illegible entries; for any computer, telephone, cable network, electronic or Internet hardware or software malfunctions, failures, connections, or availability; for garbled, corrupt or jumbled transmissions; for service provider, Internet, Web site or user net accessibility or availability, hardware/software incompatibility, traffic congestion, unauthorized human intervention or any technical error; nor for the incorrect or inaccurate capture of entry or other information or for the failure to capture any such information. In the event of any such error, Administrator reserves the right to cancel or modify this Sweepstakes in a manner deemed appropriate by the Administrator, in the Administrator’s sole discretion. Should any portion of the Sweepstakes be, in Administrator’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of Administrator, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Administrator reserves the right, in its sole discretion, to suspend, modify or terminate the Sweepstakes, and select the winners from entries received prior to action taken or as otherwise deemed fair and appropriate by Administrator. Only eligible entries received by Administrator in accordance with these Official Rules will be considered.

5. DRAWING/NOTIFICATION: The potential winner(s) will be chosen from among the eligible entries via a random computerized drawing on or about April 23^rd, 2025. Odds of winning depend on the number of entries received.  Only the number of prizes stated herein will be awarded. In no event will Promotion Parties be responsible for awarding more than the stated number of prizes.

Eligible potential winner(s) will be notified using Instagram messages or a direct message in Instagram provided at time of entry through access of the Instagram post, and any potential winner(s) who submitted an entry via the alternative method of entry will also be notified via e-mail. In the event a potential winner cannot be reached or fails to respond as directed within one (1) business day (or as otherwise directed), the prize for such potential winner will be forfeited. Administrator may, but without obligation, attempt to award the prize to an alternate potential winner. Each potential prize winner may be required to complete, sign, have notarized, and return any or all of the following documents (collectively, the “Documents”) to Administrator: (a) an affidavit of eligibility, liability release, and/or, where legal, a publicity release; (b) IRS Form W-9 to include winner’s social security number that will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service; and (c) any additional document/information Administrator requires to enable Administrator verify the potential winner’s eligibility, compliance with these Official Rules, and/or to provide the prize to the potential winner (e.g., mailing address).

By entering, each entrant attests that the entrant meets the eligibility requirements set forth in these Official Rules and agrees to abide by and be bound by these Official Rules, the terms of use of Instagram, and the decisions of Administrator (which will be final and binding in all respects). The Administrator reserves the right to make changes in these Official Rules, including, without limitation, the substitution of prize(s) of equal or greater value, which will become effective upon announcement. If a potential winner: (a) cannot be contacted after a reasonable attempt has been made by Administrator (as determined in Administrator’s sole discretion); (b) fails to timely return or properly complete the Documents by April 25^th, 2025, if requested to do so; (c) is or becomes ineligible or does not comply with these Official Rules; (d) refuses the prize; or (e) the prize or prize notification is rejected or returned as undeliverable, then such potential winner will be disqualified and forfeits all rights to be deemed a winner (and an alternate potential winner may be selected from remaining eligible entries received). Upon prize forfeiture, no compensation will be given. Undeliverable, returned, unclaimed or un-awarded prizes will not be re-awarded. 

In the event that technological, programming or other errors cause more than the stated number of prizes in any category, as indicated in these Official Rules, to be sent as notifications, distributed, claimed or received for any prize, Administrator reserves the right, at its sole discretion, to award only the stated number of prizes (in such prize category if applicable) by random drawing among all eligible claimants. Prize award is subject to verification of eligibility, and compliance with these Official Rules.

6. PRIZE(S)/ODDS: The Easter 2025 Prize (total approximate retail value (“ARV”): >$250).  [One (1) prize] will be awarded.  No transfer, assignment or substitution of prize (in whole or in part) is permitted, except Administrator reserves the absolute right to substitute prize(s) of equal or greater value. The prize(s) are not redeemable for cash. The difference between the estimated ARV and actual value of the prize(s) will not be awarded as cash, or otherwise. All federal, state and local taxes, if any, are the sole responsibility of the winner of each prize as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided. Winnings of $600.00 or more will be reported to the IRS. Any digital coupon is subject to the terms and conditions of issuer. Any prize pictured in advertising or promotional materials is for illustrative purposes only and may not be the actual prize awarded. Products awarded as prizes may not be sold, auctioned, bartered, assigned, exchanged, commercially transferred, or donated, or otherwise placed into unauthorized commercial channels of distribution. The prize(s) are awarded “AS IS” without warranty of any kind, either express or implied, including but not limited to, the implied warranty of merchantability, fitness for a particular purpose, and non-infringement.

7. LIMITATIONS OF LIABILITY: By entering this Sweepstakes, each entrant waives all right to, and agrees to hold harmless, the Promotion Parties and Instagram from any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with, directly or indirectly, such entrant’s participation in this Sweepstakes or the acceptance, use, or misuse of any prize. Without limiting anything to the contrary herein, everything on sites related to the Sweepstakes is provided “AS IS” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties.

BY PARTICIPATING, EACH ENTRANT AGREES TO AND HEREBY RELEASES, DISCHARGES AND HOLDS HARMLESS THE PROMOTION PARTIES, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES AND AGENTS AND ALL OF THEIR SUCCESSORS AND ASSIGNS, FROM AND AGAINST ANY AND ALL ALLEGED OR ACTUAL CLAIMS, ACTIONS, DEMANDS, LOSSES, SETTLEMENTS (WHETHER OR NOT LITIGATION HAS COMMENCED), LIABILITIES AND DAMAGES OF ANY KIND WHATSOEVER EXISTING NOW OR ARISING IN THE FUTURE (INCLUDING, WITHOUT LIMITATION, BODILY INJURY, PERSONAL INJURY, DEATH, DISABILITY AND PROPERTY DAMAGE OR LOSS), COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS’ FEES, COURT COSTS, SETTLEMENT AND DISBURSEMENTS) DIRECTLY OR INDIRECTLY ARISING OUT OF THE DELIVERY, ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE AND PARTICIPATION IN THIS SWEEPSTAKES AND ANY SWEEPSTAKES-RELATED ACTIVITY (INCLUDING, BUT NOT LIMITED TO, ACCESSING SWEEPSTAKES SITES AND PAGES (IF ANY), ACCESSING INSTAGRAM, AND PRINTING OR DOWNLOADING ANY MATERIALS RELATED TO THIS SWEEPSTAKES).  Each winner shall bear all risk of loss or damage to the winner’s prize after it has been delivered. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS ABOVE OR THE EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO CERTAIN ENTRANTS.

The Promotion Parties are not responsible for any incorrect or inaccurate information, whether caused by Web site users, human error, tampering, hacking or by any of the equipment or programming associated with or utilized in the Sweepstakes or any element thereof and assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction or inability to access or unauthorized access to a Sweepstakes page and/or site. If, for any reason, the Sweepstakes or any element thereof, in whole or in part, is not capable of running as planned by reason of, but not limited to, infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes which Administrator deems, in its sole opinion, could corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or any element thereof, Administrator reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes and select the winner at random from eligible, non-suspect entries received for the Sweepstakes prior to the action or as otherwise may be deemed fair and equitable by Administrator. Promotion Parties shall not be liable to winner or any other person for failure to execute the Sweepstakes or any element thereof, or supply a prize, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, cyber-attack, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot or any similar or dissimilar event beyond their reasonable control. 

Except where prohibited by law, each entrant hereby irrevocably grants to the Promotion Parties (and their authorized representatives) the royalty-free right and permission to unconditionally reproduce, store, transmit, publish, display, use, or reuse the entrant’s name and any other information or materials arising out of participation in the Sweepstakes for advertising, promotional, commercial, publicity and/or any other purposes (without limitation), in any and all media now or hereafter known, in any language, throughout the world, and in any manner without further review, notice, approval, consideration or compensation to the entrant. Unless prohibited by law, each entrant waives any right of privacy, right of publicity, intellectual property right, and other right that may preclude the Promotion Parties from using or disclosing all or any part of an entry in any manner and for any purpose. This includes, but is not limited to, Sponsor identifying the potential winner’s name on Diamond Crystal Salt Co.’s Instagram account as a potential or actual winner of this Sweepstakes (including with respect to potential winners who use the alternative method of entry).

Prizes may be mailed to the winners and winner assumes the risk of loss of the prize. The Promotion Parties are not responsible for the safe arrival of a prize.

8. COPY OF OFFICIAL RULES; WINNERS LIST: For a copy of these Official Rules, send a self-addressed stamped envelope for receipt by April 25^th, 2025 to “Diamond Crystal Salt Co. Easter 2025 Sweepstakes– Official Rules,”, Cargill, Incorporated, Attn: Emily Klinger, 15407 McGinty Road West, Wayzata, MN 55391. For the names of the prize winners send a self-addressed stamped envelope for receipt by April 25^th, 2025 to the above address marked “Diamond Crystal Salt Co. Easter 2025 Sweepstakes – Winners List”.  (VT residents may omit return postage.) The Official Rules and the Winner List (when completed) shall also be available during regular business hours at the main offices of the Sponsor at the address identified in Section 11.

9. PRIVACY: Any personal information of an entrant information collected by any Promotion Party during the Sweepstakes will be used by the Promotion Party for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules or as otherwise permitted and in accordance with Sponsor’s Privacy Notice, available at http://www.cargill.com/privacy/.  

When entering the Sweepstakes, an entrant may be asked to consent to receive promotional emails, mailings and other information about Sponsor, its products, and/or its partners. Consenting to receive such emails, mailings and information is optional and is not necessary to enter the Sweepstakes or win a prize, nor will it increase or improve the entrant’s chances of winning. As indicated above, all information/data collected online is subject to Sponsor’s Privacy Notice.

10. Choice of Law and Forum; Disputes: Each entrant agrees that any and all matters arising out of or relating to this Sweepstakes (including these Official Rules) are governed by, and construed in accordance with, the laws of Minnesota, without giving effect to any conflict of law provisions thereof. The state or federal courts sitting in Hennepin County, Minnesota, and any appellate court thereof, have exclusive jurisdiction over any dispute arising out of or in connection with this Sweepstakes (including these Official Rules). Each entrant submits to sole and exclusive personal jurisdiction of said courts in the State of Minnesota for any matter and irrevocably waives any and all rights to object, challenge, dismiss or transfer such action based on inconvenience of forum or any other reason. 

11. SPONSOR: The sponsor of this Sweepstakes is Cargill, Incorporated, with its headquarters located at 15407 McGinty Road West, Wayzata, MN 55391.

12. NO SPONSORSHIP, ENDORSEMENT, ADMINISTRATION BY, OR ASSOCIATION WITH INSTAGRAM. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Instagram.
